1. General terms and conditions
  1. This public offer regarding the provision of a charitable donation (hereinafter referred to as the “Offer“) is a proposal of the CHARITABLE ORGANIZATION “CHARITABLE FOUNDATION “B50 VOLUNTEERS”, legal entity identification code 44769771, located at: 110, Holosiivska St., apartment 115, 03039, Kyiv, Ukraine (hereinafter referred to as the “Foundation“), represented by its Director Denys Valeriiovych Herasymov, to an indefinite number of legally capable individuals and legal entities of private law that voluntarily carry out charitable activities (hereinafter each of such persons is referred to as the “Donor“), to conclude a charitable donation agreement (hereinafter referred to as the “Agreement“) on the terms and conditions described in this Offer with each Donor who applies.
  2. This Offer is a proposal to enter into an agreement in accordance with Article 641 of the Civil Code of Ukraine.
  3. This Offer shall come into force from the moment it is posted on the Foundation’s website at the following link: b50.com.ua (hereinafter referred to as the “Website”). This Offer is perpetual and may be amended or withdrawn by the Foundation at any time (prior to its acceptance by the Donor) by posting the relevant information on the Website.
  4. The Foundation may enter into agreements on the provision of a charitable donation in a different manner and/or on different terms than provided for in this Offer. The Donor may separately apply to the Foundation to conclude such an agreement.
  1. Subject of the Agreement
  1. Pursuant to this Agreement, the Donor shall donate funds to the Foundation as a voluntary charitable donation to ensure the statutory activities of the Foundation, and the Foundation shall accept such charitable donation and undertake to use it for its charitable activities in accordance with the Statute and the laws of Ukraine.
  1. The transfer of funds by the Donor under this Agreement shall be recognized as a charitable donation in accordance with Article 6 of the Law of Ukraine “On Charitable Activities and Charitable Organizations”.
  1. The Donor independently determines the amount of the charitable donation. The donor has the right to request from the Foundation and receive information on the nature and amount of the required charitable assistance for specific purposes of the Foundation’s activities, as well as under the Foundation’s charitable programs, in order to determine the areas of use of the charitable donation before it is provided.
  1. The conclusion and execution of this Agreement is not intended to and does not provide for profit to either party.
  1. Activities of the Foundation
  1. The Foundation carries out charitable activities in the field of prevention of natural and man-made disasters and elimination of their consequences, assistance to victims of catastrophes, armed conflicts and accidents, as well as refugees and persons in difficult life circumstances, promoting the country’s military capability and emergency readiness, protecting the population in peacetime and state of war emergencies, aimed at providing charitable assistance to individuals and legal entities of private law as defined in the Law of Ukraine “On Charitable Activities and Charitable Organizations”, to volunteers who need assistance in eliminating the consequences of armed conflicts, and conducts other charitable activities in accordance with its Statute.
  1. The Foundation’s activities are not aimed at making a profit.
  1. The Foundation’s Statute, information on its work and performance reports are available on the Website.
  1. Making a donation and accepting the Offer
  1. The Donor independently determines the amount of the charitable donation and makes it by making a money transfer using the payment forms and means posted on the Website, or by transferring funds to the current account of the Foundation through banking institutions, or by transferring cash to the Foundation. Charitable donations are indefinite, and the period of their use by the Foundation is not limited.
  1. In accordance with this Offer and the Agreement, charitable donations are provided by the Donors and used by the Foundation to conduct and ensure charitable activities (implementation of the areas, goals of charitable activities and charitable programs) of the Foundation in accordance with the Statute and the legislation of Ukraine. The Donor agrees to such purpose of their donation.
  1. The Donor also has the right to determine the specific purpose of their donation within the goals and activities and charitable programs of the Foundation by concluding a separate agreement with the Foundation on the provision of a charitable donation in accordance with clauses 1.4 and 2.3 of this Offer. If the Donor, when making a donation, determines its specific purpose without prior approval of the Foundation, the Foundation has the right to return such donation to the Donor.
  1. Charitable donations are used by the Foundation in the order of their receipt.
  1. When making a donation, for the purpose of correct identification of the payer, the Donor shall provide their contact information: name and surname, legal entity, e-mail address and/or telephone number, other data that allows the Donor to be identified.
  1. Acceptance of the Offer shall be deemed to be its full and unconditional acceptance by the Donor by transferring the charitable donation to the Foundation in one of the ways specified in clause 4.1 above. The Offer shall be deemed accepted and the Agreement concluded from the date of crediting the funds to the current account of the Foundation or their receipt at the Foundation’s cash desk.
  1. Within 48 hours after the funds are credited to the current account of the Foundation or recorded at the Foundation’s cash desk, the Donor may apply to the Foundation for a refund of the donation due to their erroneous transfer or other reasons. Upon expiration of this period, the charitable donation is considered irrevocable and is not refundable by the Foundation, unless such refund is required by the legislation of Ukraine or otherwise provided for in this Offer. If a donation was made to the Foundation’s account without identifying the payer and the Foundation cannot identify the Donor, such donation is not refundable.
  1. By accepting the Offer, the Benefactor confirms that they agree to all the terms of the Offer, are fully aware of and agree to the subject matter and terms of the Agreement.
  1. The costs associated with making charitable donations (transfer fees, taxes, fees, etc.) shall be borne by the Donor, if such costs are charged to the Donor, and by the Foundation, if such costs are charged to the Foundation. The Donor realizes and agrees that a part of their charitable donation may be used by the Foundation to cover the costs associated with making charitable donations, if such costs are charged by third parties by default and cannot be avoided (for example, payment system acquiring fees, bank fees, etc.).
  1. Rights and obligations of the parties
  1. The Foundation undertakes to use the funds of the Donor’s charitable donation in strict accordance with the laws of Ukraine and only within the framework of its statutory activities.
  1. The Foundation has the right to independently determine the use of a charitable donation in accordance with its statutory activities and the legislation of Ukraine, unless the Donor has determined the specific purpose of his or her donation under a separate agreement with the Foundation. Thus, if the Donor does not specify the specific purpose of the charitable donation, it is considered that the donation is made for the implementation of the Foundation’s statutory activities.
  1. The Donor agrees that, in accordance with the Law of Ukraine “On Charitable Activities and Charitable Organizations”, the Foundation may use part of the funds received from the Donors to finance its administrative expenses. The amount of expenses for the maintenance of the Foundation (administrative expenses of the Foundation) may not exceed 20% of its budget in the current year.
  1. A donor has the right to receive information on the use of their charitable donation. For this purpose, the Foundation publishes monthly financial reports on the Website, which, among other things, contain information on the amounts of donations received by the Foundation during the reporting period and the Foundation’s expenses during the reporting period. At the request of the Donor, the Foundation may also confirm the intended use of the charitable donation with additional documents.
  1. By providing a charitable donation, the Donor unconditionally confirms their legal capacity, voluntariness of the transaction, that the subject of the charitable donation is not prohibited, arrested, or pledged, is not encumbered by any other rights of third parties and was not acquired in violation of the Law of Ukraine No. 361-IX “On Prevention and Counteraction to Legalization (Laundering) of Proceeds of Crime, Terrorist Financing and Financing of the Proliferation of Weapons of Mass Destruction”.

If the Foundation has reasonable doubts about these statements, the Foundation has the right to request, and the Donor undertakes to provide, appropriate supporting evidence of these statements.

  1. Concluding terms and conditions
  1. By accepting the Offer, the Donor grants the Foundation consent to the processing of their personal data disclosed by the Donor when making a charitable donation in order to fulfill the terms of the Agreement. Such personal data may include: name, surname and patronymic, address, place of residence, e-mail address, telephone number and (in case of transferring funds to the current account of the Foundation through banking institutions) bank details. The permitted types of personal data processing include their collection, registration, accumulation, storage, adaptation, modification, updating, use and dissemination (distribution, sale, transfer), depersonalization and destruction. The Foundation undertakes not to disclose the Donor’s personal data to third parties without the Donor’s permission, except in cases where such disclosure is required by government agencies or otherwise required by the laws of Ukraine. The Donor confirms that they have been informed of the rights established by the Law of Ukraine “On Personal Data Protection”. The scope of the Benefactor’s rights as a subject of personal data in accordance with the Law of Ukraine “On Personal Data Protection” is known and understood by them.
  1. The Donor agrees that their contact information may be used by the Foundation to send letters and messages to the Donor, including electronic ones. At the same time, the Foundation undertakes not to provide information about the Donor’s contact information to third parties, except as expressly provided for by the legislation of Ukraine.
  1. In case of disputes between the parties to this Agreement, they shall be resolved through negotiations. In case of impossibility of negotiated settlement, disputes shall be considered by the courts in accordance with the procedure established by law.
